You agree not to file any legal action until You have provided written notice and participated in the informal mediation outlined in this paragraph. We will respond to your Dispute within thirty (30) business days of receiving such notice. If our response is insufficient to resolve your Dispute, You agree to participate in an informal mediation before an agreed-upon third-party neutral. You and Red Sparrow will mutually agree on the time, location, and date of the informal mediation. If the mediation is unsuccessful, You can proceed with legal action.

Governing Law

These Terms are governed by Ohio law without regard to conflict of law principles.

Exclusive Jurisdiction and Venue

You and Red Sparrow agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes") shall be resolved exclusively in the state or federal courts located in Cuyahoga County, Ohio. You and Red Sparrow hereby consent to the exclusive jurisdiction of such courts and waive any objection to venue in such courts, including any claim that such venue is inconvenient.

Class Action Waiver

YOU AND RED SPARROW AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE PLAINTIFF, OR SIMILAR PROCEEDING. You and Red Sparrow agree to waive any right to resolve Disputes on a class action, collective action, or representative action basis.

13.      General Provisions

Changes to Terms

We may modify these Terms at any time. Changes will be communicated via text or other reasonable means. Continued participation constitutes acceptance.

Severability

If any provision is unenforceable, the remainder of these Terms remains in effect.

Assignment

Red Sparrow may assign these Terms without restriction. You cannot assign your rights without our written consent.
